Terms of Service

These Terms of Service (the “Terms”) govern the rights, obligations, and responsibilities between Archisketch Inc. (the “Company”) and the users regarding the use of the Archisketch website, applications, and all related services (the “Service”), including online design/rendering solutions, project/content management, templates, commerce (sale of goods/services), and subscription plans.

Chapter 1. General Provisions

Article 1 (Purpose)

• The purpose of these Terms is to define the rights, obligations, responsibilities, and conditions of use between the Company and the User in relation to the Service.

Article 2 (Definitions)

• “Service” refers to the Archisketch platform and all ancillary features (e.g., online design/rendering, project storage, templates, commerce, subscriptions, customer support).

• “User” refers to both Members and Non-members who access and use the Service subject to these Terms.

• “Member” refers to a User who has registered an account with the Company to continuously use the Service.

• “Goods/Services” refers to digital or physical products and services (including subscriptions) provided or sold by the Company.

• “Paid Service” refers to services provided for a fee, including recurring subscriptions, one-time purchases, credit/point recharges, and usage-based billing.

• “Subscription Plan” refers to a recurring Paid Service where the Member pays a periodic fee for access rights.

• “Content” refers to all data—such as 2D/3D floor plans, modeling data, rendering images, templates, project configurations, and logs—created, uploaded, or stored by the Member.

• “Enterprise Customer” refers to a corporate entity or business user utilizing the Service through its employees, agencies, contractors, or partners.

• “End-Client” refers to customers or prospective customers registered and managed in the Service by a Member or Enterprise Customer for CRM purposes.

• “CRM Data” refers to the End-Client’s information processed within the Service, including names, contact details, budgets, spatial dimensions, project schedules, and consultation notes.

Article 3 (Modification of Terms)

• The Company reserves the right to modify these Terms to the extent permitted by applicable laws.

• Any changes will be posted on the Service at least 7 days prior to the effective date. For material changes that adversely affect Users, the Company will provide at least 30 days' advance notice.

• Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

Chapter 2. Account and Membership

Article 4 (Account Registration & Age Restrictions)

• Users apply for membership by providing the required information and agreeing to these Terms and the Privacy Policy.

• Global Age Restriction: The Service is not intended for children. You must be at least 13 years old (in the United States under COPPA), 16 years old (in the European Union under GDPR), or the minimum age of digital consent in your jurisdiction to create an account. The Company does not knowingly permit registration by users under the applicable minimum age.

• The Company may reject or subsequently terminate accounts that provide false information, violate these Terms, or pose technical/security risks.

Article 5 (Account Security)

• Members are responsible for maintaining the confidentiality of their account credentials and must not share or transfer them to third parties.

• The Company is not liable for any damages arising from the Member's failure to secure their account.

Article 6 (Termination and Suspension)

• Members may request account deletion at any time, and the Company will process it promptly in accordance with applicable laws.

• The Company may suspend or terminate accounts for prohibited conduct, payment defaults, or legal violations, generally providing prior notice and an opportunity to cure, unless immediate action is required by law.

Chapter 3. Provision of Services

Article 7 (Service Modifications and Interruptions)

• The Company provides design features, rendering tools, commerce functionalities, and content management systems.

• The Company may modify, update, or discontinue certain features. Material changes will be communicated to Users.

• The Service may be temporarily suspended due to maintenance, system failures, or force majeure events. The Company will provide prior notice when possible. The Company will not be liable for damages caused by such interruptions unless due to its gross negligence or willful misconduct.

Chapter 4. Commerce and Payments

Article 8 (Purchases and Contracts)

• Contracts for Goods/Services are formed when the Company sends a confirmation notice regarding the User's purchase request.

• The Company processes payments through authorized third-party gateways and explicitly discloses pricing, taxes, and fees prior to purchase.

Article 9 (Refunds and Right of Withdrawal - Global Policy)

• EU/UK Right of Withdrawal: If you are a consumer in the EU/UK, you may have the right to withdraw from a purchase within 14 days without giving any reason. However, by downloading or fully using digital content, you acknowledge that you lose this right of withdrawal.

• General Refund Policy: For other regions, Users may request a refund within 7 days of purchase, provided the Goods/Services or digital contents have not been used, downloaded, or customized, in accordance with the Company’s Refund Policy and applicable consumer protection laws.

• Refunds are processed using the original payment method within standard banking timeframes.

Chapter 5. Subscription Plans

Article 10 (Fees, Auto-Renewal, and Cancellation)

• Subscription Plans are billed on a recurring, prepaid basis.

• Auto-Renewal: Unless canceled prior to the end of the current billing cycle, Subscription Plans will automatically renew under the exact same conditions.

• Cancellation: Members may cancel auto-renewal at any time via their account settings. The cancellation will take effect at the end of the current paid term.

• Refunds for Subscriptions are strictly governed by the Company’s detailed Refund Policy provided on the Service platform.

Chapter 6. Content, Intellectual Property, and AI

Article 11 (User Content and PII Restrictions)

• The Company stores User Content to provide the Service.

• PII Warning: Members must exercise extreme caution not to input highly sensitive Personal Identifiable Information (PII) or protected health/financial data into drawings, notes, or AI prompts. The Company is not liable for unauthorized exposure of such data resulting from the Member's use of sharing features.

Article 12 (CRM and Enterprise Data Processing - GDPR/CCPA Compliance)

• When an Enterprise Customer inputs End-Client CRM Data, the Enterprise Customer acts as the Data Controller (or Business) and is solely responsible for obtaining all legally required consents from End-Clients.

• The Company acts strictly as a Data Processor (or Service Provider) in managing this CRM Data based on the Enterprise Customer’s instructions.

Article 13 (Intellectual Property Rights)

• Company IP: All rights, title, and interest in the Service (including platform architecture, UI/UX, and proprietary algorithms) remain entirely with the Company.

• User Content: Members retain full ownership rights to their Content. By uploading Content, Members grant the Company a necessary license to host, process, and display the Content solely for operating, securing, and improving the Service.

• The Company will not sell User Content to third parties or use it for separate commercial AI training platforms without explicit, separate consent.

Article 14 (AI-Powered Features and Limitations)

• The Company offers AI-driven features (e.g., auto-furnishing, spatial recommendations, AI agents) to assist Users.

• No Professional Guarantee: AI recommendations are strictly for reference. The Company makes no representations regarding the structural safety, architectural integrity, or legal/code compliance of any AI-generated layout. Users must independently verify all results.

• The Company may analyze AI chat logs and feature usage strictly to improve the current Service, fix bugs, and enhance security, as outlined in the Privacy Policy.

Article 15 (Prohibited Conduct)

Users are strictly prohibited from:

• Uploading illegal, defamatory, or obscene materials.

• Inputting sensitive government IDs, health records, or unauthorized third-party data.

• Using web crawlers, scrapers, bots, or automated tools to extract data without permission.

• Using the Service or its outputs to develop competing services, or to train external AI/Machine Learning models.

Chapter 7. Disclaimers, Limitation of Liability, and Dispute Resolution

Article 16 (DISCLAIMER OF WARRANTIES - AS IS)

• TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, INCLUDING ALL AI FEATURES AND RENDERING OUTPUTS, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

Article 17 (LIMITATION OF LIABILITY)

• TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO OR USE OF THE SERVICE.

• The Company is not liable for service disruptions caused by force majeure events or user negligence.

Article 18 (Governing Law and Dispute Resolution)

• Applicable Law: These Terms and any disputes arising out of them shall be governed by the laws of the Republic of Korea (or the applicable jurisdiction based on the Company's global entity), without regard to its conflict of law principles.

• Binding Arbitration & Class Action Waiver (US Users): Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration, rather than in court. Users agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

• For non-US users, disputes shall be submitted to the competent courts of the applicable jurisdiction.

Addendum

• These Terms shall be effective as of 1 June 2026.
